Terms
The licence for SoPhi Companion ("the app"), between you and TODO:legal-name ("we"). By installing or using the app you agree to these terms. Version 1, effective TODO:effective-date.
1. You are responsible for what the agent does
The app is an AI agent. It acts on your instructions and within the permissions you give it: it can read and change files, run commands, use the browser, use the tools and MCP servers you connect, and draft messages.
- Actions are yours. Every action the app takes, whether you asked for it, approved it, or allowed it through an autonomy level, a schedule, a goal or a skill, is taken on your behalf and under your control. You are responsible for those actions and their results, as if you had taken them yourself.
- You decide how far it goes. The app asks before it acts unless you choose otherwise. Allowing an action for a session, raising the autonomy level, or connecting a tool is your decision.
- Check its work. AI output can be wrong, incomplete or unexpected. Review what the app proposes before you approve it, and review drafts before you send them. The app never sends email for you: Open in Mail opens an unsent message.
- Third-party accounts and sites. When the app acts in a website, service or account you use, you are responsible for following that service's terms.
- Lawful use. You will not use the app to break the law or to harm others, and you are responsible for having the right to record, transcribe or process what it hears and reads, including other people's speech in meetings.
2. Models and other services
The app works with a model you choose: a local model on your machine, or a cloud provider used with your own key. Cloud providers, model servers, MCP servers and websites are run by others under their own terms. We do not control them and are not responsible for their output, availability or handling of your data.
3. The licence
- A licence lets one person use the app on the number of machines stated when you buy it. Every licence starts with a 14-day free trial.
- You may not resell, sublicense, or reverse engineer the app, except where the law allows it.
- The engine the app is built on, SoPhi, is open source under the Apache License 2.0. These terms do not limit your rights under that licence.
- We may end your licence if you break these terms. You may stop using the app at any time.
4. No warranty
The app is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy and non-infringement. We do not promise that the app or its output will be correct, uninterrupted or free of errors.
5. Limits on our liability
- We are not liable for actions the app takes on your behalf or their consequences, including changed or deleted files, commands run, messages drafted or sent, purchases, bookings, or anything done in a website or account.
- We are not liable for indirect or consequential loss, lost data, lost profits or business interruption.
- Where we are liable, our total liability is limited to the amount you paid for the app in the 12 months before the claim.
- Nothing in these terms limits liability that cannot be limited by law, or your statutory rights as a consumer.
6. Your data
What the app stores and sends is described on the privacy page. Back up what matters to you.
7. Changes and law
We may update these terms; the app will ask you to accept a new version before you continue using it. These terms are governed by the laws of TODO:governing-law.
